The Board has approved the Corporate Governance Guidelines, Code of Ethical Business Conduct, Human Rights Policy and Committee Charters included below to provide a framework for fulfilling its responsibilities as a Board and to promote principles and standards to guide the Company and its employees. These are subject to modification from time to time by the Board.

The Corporate Secretary reviews and distributes appropriate communications to the Board or the relevant Board committee or Board members. The Board welcomes comments, concerns and questions from stockholders, customers, suppliers and other stakeholders. You may also write to the Board anonymously.

Solicitations for business, job inquiries, surveys and other materials that are unrelated to the duties and responsibilities of the Board, or materials that are hostile, threatening or illegal, will generally not be forwarded to the Board unless a Board member requests to see such materials.

Submission of Whistleblower Complaints

The Company is committed to maintaining compliance with all applicable securities laws and regulations, accounting standards, accounting controls and audit practices. We encourage employees to help maintain the integrity of our Company by reporting any misconduct. To assist in these efforts, any employee of the Company, as well as other individuals, may submit a complaint regarding questionable accounting or auditing matters, instances of corporate fraud or violations of applicable laws (“Compliance Matters”).

The Company’s Audit Committee has established the following procedures for (1) the confidential, anonymous submission of concerns regarding Compliance Matters and (2) the receipt, retention and treatment of complaints regarding Compliance Matters, and will provide oversight for responding to concerns in this area.

Stockholders, employees, officers, directors, clients, or other interested parties may report evidence of wrongdoing, complaints, or concerns relating to Compliance Matters to the Chair of the Audit Committee through the following methods:

Any complaints or reports may be submitted anonymously. Individuals submitting a report on an anonymous basis are strongly encouraged to keep a copy of the report (if made in writing) and a record of the time and date of their submission, as well as a description of the matter as reported if the report was not in writing.

Individuals are encouraged to provide as much specific information as possible, including names, dates, places, events that took place, and why the incident(s) may be misconduct.
